In the event a dispute shall arise between the parties to this agreement, the parties agree to participate in at least four hours of mediation in accordance with the mediation procedures of a local mediation and arbitration firm. The parties agree to share equally in the costs of the mediation. Mediation involves each side of a dispute sitting down with an impartial person, the mediator, to attempt to reach a voluntary settlement. Mediation involves no formal court procedures or rules of evidence, and the mediator does not have the power to render a binding decision or force an agreement on the parties. Indemnification. You agree to indemnify, defend and hold harmless CelebratingIsrael.com, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement by you. Third Party Rights. The provisions of paragraphs 3 (Use of the Service), and 4 (Indemnification) are for the benefit of CelebratingIsrael.com and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf. Term; Termination. This Agreement may be terminated by either party without notice at any time for any reason; provided that you may no longer use the Service after you have terminated this Agreement. The provisions of paragraphs 2 (Copyright, Licenses and Idea Submissions), 3 (Use of the Service), 4 (Indemnification), 5 (Third Party Rights) and 7 (Miscellaneous) shall survive any termination of this Agreement. Miscellaneous. This Agreement shall all be governed and construed in accordance with the laws of the State of California applicable to agreements made and to be performed in California. You agree that any legal action or proceeding between CelebratingIsrael.com and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in California. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. CelebratingIsrael.com' failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. CelebratingIsrael.com may assign its rights and duties under this Agreement to any party at any time without notice to you. Exhibit A - Operating Policies Your participation in on-line communications occurs in real time and is not edited, censored, or otherwise controlled by CelebratingIsrael.com. CelebratingIsrael.com cannot and does not screen content provided by users of the Service. Notwithstanding the foregoing, CelebratingIsrael.com reserves the right to monitor content on the Service and to remove content which CelebratingIsrael.com, in its sole discretion, determines to be harmful, offensive, or otherwise in violation of these Operating Policies. In order to maintain an informative and valuable service that meets the needs of the users of the Service and avoids the harm that can result from disseminating statements that are false, malicious, violate the rights of others, or otherwise harmful, it is necessary to establish the following rules to protect against abuse: Unless you are participating in an area of the Service that requires or encourages anonymity, use your real name in online communications. You may not use the facilities and capabilities of the Service to conduct any activity or solicit the performance of any illegal activity or other activity which infringes the rights of others. * By creating an advertiser account you agree to the terms and conditions of CelebratingIsrael.com. * Each customer will have a unique user name and password which is used to purchase ad space, update account information, and/or make any other changes as authorized. * Minimum purchase is $100 for a 10x10 block (100 pixels) and the maximum purchase is whatever is available at the time of purchase. * When an advertiser purchases pixels on CelebratingIsrael.com they will not own any part of the web page or this web site, but are granted the right to submit ad creative which will be published at the discretion of CelebratingIsrael.com on the requested ad space and only in accordance with the terms and conditions of this site. * CelebratingIsrael.com reserves the right to refuse any advertisement. No obscene or offensive images or links to Web sites containing such content will be published. * When an order is placed, the space purchased will show as “reserved†until the order is completed and CelebratingIsrael.com approves the ad creative. Space is purchased on a first come, first served basis. * Orders may be completed by check or using a credit card. * Images must be the exact size you have paid for (example: 100 pixels = 10x10 pixels). * Images must be in GIF, JPEG or PNG format. * Images must not be animated. Animated images will not be approved. * Links must be to Web pages only and begin with http://. * You must be authorized to provide the image and link for the Web site you submit. CelebratingIsrael.com will not be held liable for any copyright infringement and ads found to be in violation of copyright will be removed without refund. * Funds must be fully received and cleared before your tribute goes live on the homepage. Once you have ordered ad space and the funds have cleared (CelebratingIsrael.com’s PayPal or bank account), your advertisement will be posted to the homepage within 48 hours. * There may be occasional downtime for site maintenance. This will be very limited and users will be notified in advance. If there are any major malfunctions, users will be notified as soon as CelebratingIsrael.com becomes aware of the situation. Refunds for temporary downtime will not be made available. * All sales are final. If your image and link are accepted and published on the homepage, you cannot get a refund. If for whatever reason you want your image and link removed from the homepage, you can do that, but you will not get a refund and the space will once again become available for purchase. * The ad space allocated for each Israeli anniversary will be posted on the main page of the site and then archived once the celebration is complete. The archived content will be public for as long as CelebratingIsrael.com is running.
